Actionable Compliance Checklist for Businesses

Step-by-step advisory measures prescribed by ASGR and CO for immediate adherence:

1Verify DIN status of all board members on the MCA portal prior to the start of annual filing season.
2Check whether director's personal mobile number and personal email ID are functioning for OTP validation.
3If details have changed (address, passport, mobile, email), prepare e-Form DIR-3 KYC with attested identity proof.
4Obtain DSC of director and certification from a practicing professional (CA, CS, or CMA).
5Ensure timely completion before September 30 to avert the statutory ₹5,000 late fee.

1. Rule 12A Mandate for All DIN Holders

Under Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014, every individual who holds a Director Identification Number (DIN) as on 31st March of a financial year must submit e-form DIR-3-KYC or DIR-3-KYC-Web to the Central Government.

Even if a director is not currently associated with an active company or LLP, as long as a DIN is held, the annual KYC filing is mandatory.

2. Difference Between DIR-3 KYC Web and e-Form DIR-3 KYC

For individuals who have already filed e-Form DIR-3 KYC in any previous year and do not require any update in their personal details, the simple OTP-based DIR-3 KYC Web service is applicable.

However, if an individual is filing for the very first time after DIN allotment, or if there is any alteration in personal email, mobile number, or permanent address, filing the detailed e-Form DIR-3 KYC with DSC certification is legally required.

3. Consequences of DIN Deactivation

If an individual fails to file KYC by the statutory deadline, the MCA system automatically deactivates the DIN with the reason 'Deactivated due to non-filing of DIR-3 KYC'.

A person with a deactivated DIN cannot sign any MCA forms, cannot be appointed as a director in a new company, and cannot participate in formal corporate filings until the DIN is reactivated upon payment of the ₹5,000 fee.
