Published: March 12, 20255 min readEffective: Applicable for ongoing financial year

Executive Regulatory Summary

CBDT guidelines on withholding tax obligations under Section 194-O for e-commerce operators hosting multiple sellers. Clarifications on the reduced 0.1% TDS rate, reconciliation with Section 206C(1H) TCS, and mandatory quarterly reporting in Form 26Q.

Key Statutory Takeaways

  • E-commerce platforms must deduct TDS at the point of gross sale credit to e-commerce participants.
  • Reduced withholding rate of 0.1% applies across digital transactions.
  • Exemption threshold of ₹5,00,000 for individual/HUF sellers furnishing valid PAN.
  • Platform must reconcile GMV (Gross Merchandise Value) with payment gateway settlements.

Actionable Compliance Checklist for Businesses

Step-by-step advisory measures prescribed by ASGR and CO for immediate adherence:

1Configure platform ERP to automatically deduct 0.1% TDS at invoice generation or escrow settlement.
2Verify PAN of all onboarded sellers to avoid penal 5% withholding under Section 206AA.
3Deposit monthly deductions by the 7th of the following month using Challan ITNS 281.
4Generate quarterly Form 16A certificates from TRACES and furnish to sellers.

1. Withholding Mechanisms for Digital Marketplaces

Section 194-O mandates that where sale of goods or provision of services of an e-commerce participant is facilitated by an e-commerce operator through its digital or electronic facility, the operator must deduct income-tax at the time of credit of amount of such sale or service to the account of an e-commerce participant.

2. Interplay with Section 206C(1H) TCS

The CBDT circular expressly clarifies that where a transaction is subjected to TDS under Section 194-O, the seller is exempt from collecting TCS under Section 206C(1H), averting double tax withholding on the same commercial stream.
